AGREEMENT TO THESE TERMS

Simply Luise LLC, doing business as Simply Merch Co. (“Simply Merch Co.,” “Company,” “we,” “us,” or “our”), owns and operates https://simplymerch.co (the “Site”).

These Terms & Conditions (“Terms”) govern your access to and use of the Site, including browsing, creating an account, purchasing merchandise, participating in promotions, and using any other features or services made available through the Site.

By accessing the Site, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any other policies referenced on the Site.

If you do not agree with these Terms, please discontinue use of the Site.

ELIGIBILITY

You must be at least the age of majority in your state of residence to make purchases through the Site.

If you are under the age of majority, you may use the Site only with the involvement and permission of a parent or legal guardian.

By placing an order, you represent that you are legally capable of entering into a binding agreement or have the authorization of a parent or legal guardian to do so.

Simply Merch Co. operates an online retail store offering apparel, accessories, merchandise, and other products that may be introduced from time to time.

Products may include:

Limited-release merchandise
Seasonal collections
Promotional merchandise
Made-to-order merchandise
Preorder merchandise
Collaborations
Exclusive or limited-quantity products

Availability, pricing, sizing, color options, designs, and product specifications may change without notice.

We reserve the right to limit the sale of our products to any person, geographic region, or jurisdiction where permitted by law.

PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, photographs, colors, pricing, sizing information, and other details displayed on the Site are accurate.

However, we cannot guarantee that:

Colors displayed on your device will exactly match the physical product
Product photography will represent every minor variation in manufacturing
Measurements will be identical across every individual garment
Every description or specification will be completely free from typographical or technical errors

Colors may appear differently depending on your screen, device, lighting, and display settings.

Because apparel may be manufactured in batches, minor variations in color, placement, printing, stitching, wash, texture, or finish may occur and are not necessarily considered defects.

Customers are responsible for reviewing product descriptions and available size information before placing an order.

PRODUCT AVAILABILITY

All products are subject to availability.

Adding an item to your cart does not reserve the item or guarantee availability.

Items may sell out while they remain in a customer’s cart or during checkout.

We reserve the right to:

Limit quantities purchased per customer, household, account, payment method, or order
Discontinue products without notice
Cancel duplicate or suspicious orders
Restrict purchases intended for unauthorized resale
Refuse or cancel an order when inventory is unavailable

If we cancel an order after payment has been collected, the applicable amount will be refunded to the original payment method.

LIMITED RELEASES, PREORDERS & MADE-TO-ORDER ITEMS

Certain products may be released in limited quantities or offered through preorder or made-to-order production.

Estimated processing or shipping timelines for these products will be displayed on the applicable product page whenever appropriate.

Preorder and made-to-order merchandise may require additional processing time before shipment.

Any estimated release, processing, or shipping date is subject to reasonable production or fulfillment delays.

If we are unable to ship an order within the timeframe required by applicable law, customers will be provided with any cancellation, delay-consent, or refund rights required by law.

ORDERS

Submitting an order through the Site constitutes an offer to purchase the products listed in the order.

Receiving an automated order confirmation does not necessarily mean that we have accepted or fulfilled your order.

We reserve the right to refuse, limit, or cancel an order for reasons including:

Inventory discrepancies

If an obvious pricing or system error affects an order, we may cancel the affected order and refund any amount charged.

Simply Merch Co. is not obligated to fulfill an order at an obviously incorrect price resulting from a technical, system, or typographical error.

TAXES

PAYMENT AUTHORIZATION & FRAUD PREVENTION

Discounts cannot be redeemed for cash

Promotional codes may be limited to one use per customer or order
Promotional codes may not be combined with other offers

Simply Merch Co. reserves the right to cancel orders involving unauthorized, fraudulent, manipulated, or improperly obtained promotional discounts.

GIFT CARDS & STORE CREDIT

If gift cards or store credits are offered through the Site, they may be subject to additional terms provided at the time of issuance.

Gift cards and store credits:

Have no cash value except where required by law
Cannot be redeemed for cash except where required by law
May not be replaced if transferred, sold, or obtained fraudulently
May be canceled if obtained or used through fraudulent activity

Any expiration terms will comply with applicable law.

SHIPPING & FULFILLMENT

Shipping options, rates, and estimated delivery information are provided during checkout when available.

Processing time and transit time are separate.

An estimated delivery date is an estimate and does not guarantee delivery on a specific date unless expressly stated otherwise.

Once an order has been transferred to a shipping carrier, delays may occur because of circumstances outside our reasonable control, including:

Carrier delays
Weather
Natural disasters
Transportation disruptions
Holiday volume
Incorrect shipping information
Other logistical disruptions

Where required by law, customers will retain any applicable rights relating to materially delayed or unfulfilled orders.

SHIPPING ADDRESS

Customers are responsible for entering a complete and accurate shipping address before submitting an order.

If you notice an address error after placing an order, contact support@simplymerch.co as soon as possible.

We cannot guarantee that an address can be changed after an order has entered processing or fulfillment.

Simply Merch Co. is not responsible for additional costs or losses resulting from an incorrect address supplied by the customer, except where otherwise required by law.

DELIVERED, LOST OR STOLEN PACKAGES

Tracking information provided by the shipping carrier may be used to determine delivery status.

If tracking shows that an order has been delivered but you cannot locate the package, you should promptly:

Check the delivery location and surrounding areas
Check with household members, neighbors, front desk personnel, or property management where applicable
Contact the shipping carrier
Contact support@simplymerch.co if additional assistance is needed

Simply Merch Co. is not responsible for theft, loss, or misplacement occurring after a carrier confirms delivery, except where responsibility is imposed by applicable law.

We reserve the right to review missing-package claims on a case-by-case basis.

EXCHANGE-ONLY POLICY

Eligible merchandise purchased through SimplyMerch.co is subject to our Exchange & Return Policy.

Unless otherwise required by law, merchandise that has been delivered to the customer is exchange only and is not eligible for a cash refund.

To qualify for an exchange:

The exchange must be requested within 15 days of delivery
The item must be unworn, unused, and unwashed
The item must remain in its original condition
All original tags must remain attached and intact
The merchandise must show no signs of wear, stains, odors, makeup, deodorant, pet hair, alteration, or damage
The exchange must receive prior authorization

Customers are responsible for the cost of shipping merchandise back to Simply Merch Co. for an exchange unless otherwise required by law or specifically stated by us.

Original shipping and handling charges are non-refundable.

Replacement merchandise is subject to availability.

Certain merchandise may be specifically marked Final Sale or Non-Exchangeable at the time of purchase.

The complete Exchange & Return Policy posted on the Site is incorporated into these Terms by reference.

DAMAGED, DEFECTIVE OR INCORRECT ORDERS

If you receive merchandise that is damaged, defective, or different from what you ordered, contact support@simplymerch.co within 7 days of delivery.

We may require:

Your order number
Photographs of the merchandise
Photographs of the packaging
A description of the issue
Additional information reasonably necessary to review the claim

Merchandise should remain unworn, unused, and unwashed with original tags attached while the claim is reviewed.

Approved claims will be handled in accordance with applicable law and our Exchange & Return Policy.

ORDER CANCELLATIONS

Because orders may begin processing shortly after they are placed, we cannot guarantee that a customer-requested cancellation or modification can be completed.

If you would like to request a change or cancellation, contact support@simplymerch.co as soon as possible.

Once an order has been processed, fulfilled, or shipped, it may no longer be eligible for cancellation.

Nothing in this section limits cancellation or refund rights required by applicable law.

CUSTOMER ACCOUNTS

Certain features of the Site may allow you to create a customer account.

You are responsible for:

Maintaining the confidentiality of your login credentials
Providing accurate account information
Restricting unauthorized access to your account
Notifying us if you believe your account has been compromised

By voluntarily submitting User Content to us or publicly posting it through Site features intended for customer submissions, you grant Simply Merch Co. a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and share that content in connection with operating and promoting Simply Merch Co., to the extent permitted by law.

We reserve the right to remove content that violates these Terms.

INTELLECTUAL PROPERTY

Unless otherwise stated, all content available through the Site is owned by, licensed to, or used with permission by Simply Merch Co., including:

Product designs
Artwork
Graphics
Photography
Videos
Text
Product names
Collection names
Website design
Branding
Illustrations
Marketing materials

This content is protected by applicable copyright, trademark, and other intellectual property laws.

You may not reproduce, modify, distribute, sell, license, commercially exploit, or create derivative works from Site content without prior written authorization.

DISPUTE RESOLUTION & VENUE

To the extent permitted by law, any legal action arising out of these Terms, the Site, or a purchase from Simply Merch Co. must be brought in a state or federal court with appropriate jurisdiction located in Dallas County, Texas.

You consent to the personal jurisdiction and venue of those courts, except where applicable consumer law provides otherwise.
